1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Jokoor SMS platform, including our website, SMS services, APIs, and other services (collectively, "Services"). By using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using our Services on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.

2. Services Description

Jokoor SMS provides a platform for sending SMS messages to recipients. Our Services may include:

• SMS messaging services
• Contact management tools
• Campaign management features
• Analytics and reporting
• API access for integration with other systems

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice to you.

3. Account Registration and Security

To access certain features of our Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized access to your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account.

4. Payment Terms

Certain aspects of our Services require payment. Payment terms are as follows:

• Prices are stated in Gambian Dalasi (GMD) unless otherwise specified
• Payments are processed through secure third-party payment processors
• Credits purchased are valid for 6 months from the date of purchase
• Unused credits are non-refundable
• We reserve the right to change pricing at any time with notice

You agree to pay all charges associated with your use of our Services at the rates in effect when the charges were incurred. You are responsible for providing a valid payment method for paying all fees.

5. Acceptable Use Policy

You agree not to use our Services to:

• Send spam, unsolicited messages, or marketing messages to individuals who have not given consent
• Send messages containing illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Violate any applicable laws, regulations, or industry codes of practice
• Collect or store personal data about other users without their express consent
• Send messages related to illegal activities, including but not limited to gambling, pornography, drugs, or weapons

We reserve the right to monitor content sent through our Services and to suspend or terminate accounts that violate these guidelines.

6. Sender ID Usage

When using custom Sender IDs, you agree to:

• Use only Sender IDs that you are legally authorized to use
• Comply with all applicable Public Utilities Regulatory Authority (PURA) regulations
• Provide accurate documentation and information during the Sender ID registration process
• Not impersonate other businesses, individuals, or organizations

We reserve the right to reject or revoke Sender IDs that violate these terms or applicable regulations.

7. Data Ownership and Privacy

You retain all rights to the content you send through our Services. By using our Services, you grant us a license to process, transmit, and store your content as necessary to provide the Services.

We handle your personal information in accordance with our Privacy Policy. By using our Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

8. Intellectual Property Rights

Our Services, including all content, features, and functionality, are owned by Jokoor Technologies Ltd. and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Services or our intellectual property.

9. Limitation of Liability

To the maximum extent permitted by law, Jokoor Technologies Ltd., its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Services.

The total liability of Jokoor Technologies Ltd. for any claim arising out of or relating to these Terms or our Services shall not exceed the amount paid by you to Jokoor Technologies Ltd. during the 6 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jokoor Technologies Ltd., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Termination

We may terminate or suspend your access to all or part of our Services, with or without notice, for any reason, including if we reasonably believe that you have violated these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease, and any unused credits will be forfeited.

12. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will provide notice through our Services or by other means. Your continued use of the Services after the changes take effect constitutes your acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of The Gambia, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in The Gambia for the resolution of any disputes.
